Nonprofit & Charitable Organizations

Fraser Stryker provides complete legal services to all kinds of charitable and tax-exempt organizations, their organizers, and donors. Our clients include: public charities; private foundations (corporations and charitable trusts); private operating foundations; churches; hospitals and nursing homes; a humane society; business associations and quasi-governmental organizations; and educational, research, environmental, and recreation institutions. We are experienced in advising as to the form, structure, and purposes of new entities; efficiently organizing a new entity; obtaining tax-recognition; and complying with initial and on-going registrations and filing requirements. We advise on unrelated business income, excise, property, and sales taxes; compliance and disclosure requirements; fundraising; business or political activities; and grant-making. We have in-depth experience in nonprofit corporation and charitable trust law; the fiduciary responsibilities of directors, trustees, and managers (including employment contracts and compensation issues); and provide assistance in problem avoidance in family foundations. We are experienced in planning charitable giving from the perspectives of the donor and the charitable organization. We design giving techniques and can also advise on planned giving programs as well. We also monitor the legal status and collection of gifts, bequests, and trust distributions and represent charitable beneficiaries in estate and trust disputes and litigation.
